These Terms of Service govern your access to and use of Postly, a platform for scheduling, publishing and analysing content across social media and messaging channels. By creating an account, you agree to these terms. If you do not agree, do not use the service.
By registering for an account, accessing the platform or using any part of the service, you confirm that you have read and accepted these terms and that you have the legal capacity to enter into this agreement. If you are using the service on behalf of a company or other organisation, you confirm that you are authorised to bind that organisation, and "you" refers to both you and that organisation.
You must be at least 16 years old, or the minimum age at which you can consent to the processing of your personal data in your country, whichever is higher.
Postly lets you compose content, schedule it to a calendar, and have it published automatically to the third-party channels you connect. It also provides analytics drawn from those channels, a media library, team collaboration, templates, campaigns and automation features.
We may add, change or remove features over time. Where a change materially reduces the functionality of a paid plan you are on, we will give you reasonable notice.
You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for everything that happens under your account. Tell us promptly if you believe your account has been accessed without your authorisation.
If you invite team members, you remain responsible for their use of the service and for the permissions you grant them. Removing a team member revokes their access but does not retract content they have already published.
To publish on your behalf, the service needs you to connect your social media and messaging accounts. When you do, you authorise us to store the access and refresh tokens those platforms issue, and to use them to perform the actions you request - publishing posts, reading analytics, fetching the account details shown in the interface.
Each connected platform has its own terms, and your use of it remains subject to them. You are responsible for ensuring that the content you schedule complies with the rules of every channel you send it to. We do not control those platforms and cannot guarantee that they will accept a post, keep it online, or continue to offer the API access the integration depends on.
You can disconnect a channel at any time, which revokes our stored tokens for it. Revoking access from the platform side will also stop the integration working, and scheduled posts to that channel will fail until it is reconnected.
You keep all rights to the content you upload, compose or schedule. You grant us a limited, worldwide, royalty-free licence to host, store, reproduce, adapt the formatting of, and transmit that content, strictly for the purpose of operating the service and publishing on your behalf. This licence ends when you delete the content or close your account, except for copies retained in backups for a limited period.
You confirm that you have the rights necessary to the content you publish through the service, including rights to any images, video, audio and music it contains, and to any person depicted in it.
You may not use the service to:
We may suspend or terminate an account that breaches this section, and where a breach is serious or repeated we may do so without prior notice.
Scheduled publishing depends on background processing and on the availability of third-party APIs. We aim to publish at the time you choose, but we do not warrant exact timing. A post may be delayed, retried or fail outright - for example because a platform is unavailable, a token has expired, a channel has been rate limited, or the content does not meet a platform requirement.
You remain responsible for reviewing what is scheduled. Once a post has been published to a third-party platform, we can delete our own record of it, but we cannot retract it from that platform. Features that generate or suggest content are aids, not a substitute for your review before publication.
Paid plans are billed in advance on the cycle shown at checkout and renew automatically until cancelled. Prices are exclusive of taxes unless stated otherwise. Payments are processed by our payment provider; we do not store your full card details.
You can cancel at any time, which stops future renewals and leaves your plan active until the end of the period already paid for. Except where required by law, fees already paid are not refundable. If a payment fails, we may downgrade or suspend access until it is resolved.
We may change pricing with at least 30 days notice before it applies to your next renewal.
The service, including its software, interface, design and trademarks, remains our property or that of our licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the service, and nothing more. You may not copy, modify, reverse engineer or create derivative works from the service except to the extent that applicable law or an open-source licence covering a given component permits it.
The service integrates with social platforms, messaging providers, analytics providers, AI providers and payment processors. Those services are operated independently of us, under their own terms and privacy practices. We are not responsible for their acts or omissions, for changes they make to their APIs, or for content or data they hold.
We work to keep the service available but do not guarantee uninterrupted operation. Maintenance, upgrades, third-party outages and events outside our control may interrupt it. Unless a separate written agreement says otherwise, the service is provided without a committed service level.
To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free, that defects will be corrected, or that any particular business result will follow from using it.
Nothing in these terms excludes or limits a liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, lost goodwill, or loss of data, however caused.
Our total aggregate liability arising out of or relating to the service is limited to the greater of the amount you paid us for the service in the twelve months before the event giving rise to the claim, or one hundred of the currency in which you are billed.
You agree to indemnify and hold us harmless against claims, damages, liabilities and reasonable costs arising from the content you publish through the service, from your breach of these terms, or from your violation of the terms or rights of a third party, including a connected platform.
You may stop using the service and close your account at any time. We may suspend or terminate your access if you breach these terms, if we are required to by law, or if continuing to provide the service to you would expose us or other users to material risk.
On termination, your right to use the service ends and scheduled posts are not published. We will delete or anonymise your data in line with our Privacy Policy and our retention periods. Sections that by their nature should survive termination - including intellectual property, disclaimers, liability and indemnity - continue to apply.
We may update these terms as the service and the law change. If a change is material, we will notify you by email or in the application before it takes effect. Continuing to use the service after the effective date means you accept the updated terms. The date at the top of this page shows when it was last changed.
These terms, and any dispute arising out of them or the service, are governed by the laws of the jurisdiction in which the operating company is established, without regard to conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction, except that consumers may bring proceedings in the courts of their place of residence where mandatory local law gives them that right.
If a provision of these terms is held unenforceable, the rest remains in force. Our failure to enforce a right is not a waiver of it. You may not assign these terms without our consent; we may assign them as part of a merger, acquisition or sale of assets, on notice to you. These terms, together with the Privacy Policy, are the entire agreement between us regarding the service.
Questions about these terms can be sent to the support address shown in your account settings, or to the contact address published on our website.
